These Investor Terms of Use (“Terms”) govern your use of the investor portal operated by Mownt, Inc. (“Mownt,” “we,” “us”). They apply to you as an investor or prospective investor. They are separate from the Terms of Service that govern the operators who license our software. By creating an investor account, you agree to these Terms. If you do not agree, do not use the portal.
1. What Mownt is, and what it is not
Mownt makes software. Private-market managers — we call them operators — license that software to run their own investor relationships: to publish deal information, share documents, and communicate with the people they have invited.
Mownt is not a broker-dealer, an investment adviser, a placement agent, a fund manager, or a fiduciary to you. We do not hold your money, we are not a party to any investment you make, and we have no financial interest in whether you invest.
2. Your relationship is with the operator who invited you
You have an account here because a specific operator invited you or shared a link with you. That relationship belongs to that operator. They decide what you are shown, they make any offering you see, and they are the party you are dealing with.
Mownt facilitates the software layer of that relationship and nothing more. An operator’s use of Mownt is not an endorsement of that operator by Mownt, and Mownt does not vouch for any operator to you.
3. No offer, no advice, no recommendation
Nothing in this portal is an offer or solicitation by Mownt, and nothing in it is investment, financial, legal, or tax advice from Mownt. That includes every figure, projection, model, underwriting output, document summary, and AI-generated text you encounter here.
Every offering is made by the operator who published it, on that operator’s own authority. Any decision to invest is yours, made on your own diligence and on the advice of your own financial, legal, and tax advisers.
4. Mownt does not verify what operators publish
Mownt does not vet operators, underwrite their deals, audit their numbers, or verify the accuracy or completeness of anything they publish through the Service — including deal terms, projected returns, track records, photographs, and uploaded documents. That material comes from the operator, and its accuracy is the operator’s responsibility.
Some features of the Service assist operators with Regulation D compliance. Those tools serve the operator’s own obligations. Their presence is not a representation by Mownt that any particular offering is lawful, suitable, or appropriate for you.
5. Mownt is not responsible for investment outcomes
To the fullest extent permitted by law, Mownt is not responsible or liable for:
- the performance of any investment, including a deal that underperforms, misses distributions, or fails entirely;
- capital that is not returned to you, in whole or in part;
- any advice, representation, projection, or promise made to you by an operator or anyone acting on their behalf;
- an operator’s conduct, solvency, honesty, or compliance with law;
- the accuracy of any information an operator publishes or sends through the Service.
Private-market investments carry substantial risk, including total loss of capital, and are typically illiquid and difficult to value. Past performance does not indicate future results.
6. Disputes with an operator
Any dispute about an investment, an offering’s terms, or an operator’s conduct is between you and that operator. Mownt is not an arbiter of such disputes, takes no position on them, and has no obligation to resolve them, though we may remove content or suspend an account where our Terms require it.
7. Your account
You are responsible for the confidentiality of your login credentials and for activity under your account. Provide accurate information — operators rely on it to meet their own regulatory obligations, and inaccurate information about your accreditation status or identity can invalidate an offering you participate in.
Do not share your account, attempt to access another investor’s data, or use the portal to scrape, resell, or redistribute an operator’s confidential deal material. Notify us at support@mownt.com if you suspect unauthorized access.
8. Your information
What we collect and who receives it — in particular the operator who invited you — is described in the Investor Privacy Notice. The operator who invited you can see the information you provide here, including documents you upload for their review.
9. Availability and changes
The Service is provided “as is,” without warranty of any kind. We may change, suspend, or discontinue parts of it, and an operator may end their use of Mownt at any time, which can change or end your access to that operator’s materials.
We may update these Terms. Material changes will be posted here with a new effective date; continued use after that date constitutes acceptance.
