Terms of Service

You must be at least 18 years old and legally authorized to enter into contracts to use the Service. By using the Service, you represent that you meet these requirements. If you are using the Service on behalf of a business entity, you represent that you have authority to bind that entity to these Terms.

Mownt provides a software-as-a-service platform for private market managers (operators) and their investors. Core features include:

• Investor pipeline management and CRM
• Deal creation, sharing, and soft-commit collection
• Regulation D 506(b) compliance enforcement (30-day relationship gate and non-accredited investor limits)
• Investor portal for deal access, document management, and KYC uploads
• Calendar integrations with Google Calendar, Apple Calendar, and Calendly
• Automated workflows for investor acquisition and onboarding

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately at support@mownt.com if you suspect unauthorized access to your account.

You may not share your account, create accounts using automated methods, or use another person's account without permission. We reserve the right to suspend or terminate accounts that violate these Terms.

Access to certain features requires a paid subscription. All subscriptions are billed on a recurring basis (monthly or annually) via Stripe. By subscribing, you authorize Mownt to charge your payment method on a recurring basis until you cancel.

Free Trial. If we offer a free trial, it will be described at sign-up. After the trial ends, your subscription will automatically convert to a paid plan unless you cancel before the trial expires.

Cancellation. You may cancel your subscription at any time from your billing settings. Cancellations take effect at the end of the current billing period. We do not provide refunds for unused portions of a subscription period.

Price Changes. We may change subscription pricing with at least 30 days' notice to the email address on your account. Continued use after the effective date constitutes acceptance of the new pricing.

You agree not to use the Service to:

• Violate any applicable law or regulation, including securities laws
• Conduct or facilitate fraudulent activity, money laundering, or any activity that would constitute a securities violation
• Solicit investors in a manner that violates Regulation D or any other securities exemption
• Upload or transmit malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to any system, data, or account
• Scrape, reverse-engineer, or extract data from the Service
• Resell or sublicense access to the Service without our written consent
• Harass, defame, or harm any other user or third party

Mownt provides tools designed to assist operators in maintaining Regulation D 506(b) compliance, including a 30-day pre-existing relationship gate and limits on non-accredited investors. However, Mownt is a technology platform and not a licensed broker-dealer, investment adviser, or legal counsel.

You acknowledge that:

• Compliance with securities laws is your sole legal responsibility
• You should consult qualified legal counsel before conducting any securities offering
• Mownt's compliance tools are provided as a convenience and do not constitute legal advice
• Mownt is not liable for any regulatory action, penalty, or loss arising from your use of the Service in connection with any securities offering

You retain ownership of all data, content, and materials you upload or input into the Service ("Your Data"). By using the Service, you grant Mownt a limited, non-exclusive license to store, process, and display Your Data solely to provide the Service to you.

You are responsible for ensuring you have the right to upload and process any investor data or documents through the Service, and that doing so complies with applicable privacy laws.

The Service, including its software, design, text, graphics, and all other content created by Mownt, is owned by Mownt, Inc. and protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any rights to Mownt's intellectual property except as necessary to use the Service as described herein.

You may not copy, modify, distribute, sell, or create derivative works of the Service or its content without our prior written consent.

The Service integrates with third-party services including Google Calendar, Apple Calendar, Calendly, GoHighLevel, and Stripe. Your use of those integrations is subject to the respective third-party's terms and privacy policies. Mownt is not responsible for the performance, availability, or data practices of any third-party service.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. MOWNT DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

TO THE FULLEST EXTENT PERMITTED BY LAW, MOWNT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL MOWNT'S TOTAL AGGREGATE LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO MOWNT IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

You agree to indemnify, defend, and hold harmless Mownt, Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or third-party right; or (d) any securities offering you conduct using the Service.

You may terminate your account at any time by contacting us at support@mownt.com or through your account settings. We may suspend or terminate your account immediately and without notice if we determine you have violated these Terms or if required by law.

Upon termination, your right to use the Service ends immediately. We may retain certain data as required by law or for legitimate business purposes as described in our Privacy Policy.

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Service shall be resolved by binding arbitration administered under the rules of the American Arbitration Association (AAA), except that either party may seek injunctive relief in a court of competent jurisdiction.

You waive any right to participate in a class-action lawsuit or class-wide arbitration related to the Service.

We may update these Terms from time to time. We will notify you of material changes via email or an in-app notice at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Service and cancel your subscription before the new Terms take effect.
